"The product application that has been purchased was actually developed in Indianapolis so it (the acquisition) will have no affect on our operation whatsoever," says Maggie McLening of Tivloi System Inc. She says the acquisition is unlikely to prompt changes in the Indianapolis office either, since Peregrine Systems is leasing space in the same building as Tivoli's Indianapolis offices. Tivoli, an IBM company, provides Infrastructure Management software and eMarkets solutions, with headquarters in Arboretum Plaza One, at 9442 Capital of Texas Hwy. north.
The agreement calls for Peregrine to assume responsibility for Tivoli Service Desk suite, including Problem Management, Change Management and Asset Management. The agreement also includes expanded sales and marketing relationships with IBM Global Services. The acquisition, structured as an asset purchase, totals $105 million and includes cash and approximately three million shares of Peregrine Common Stock.
Peregrine's Infrastructure Management Group provides software solutions to manage the life cycle of an organization's assets, from IT equipment, facilities, real estate and vehicle fleets to a company's intangible knowledge assets. Peregrine's E-Markets Group processes more than 1.1 million e-commerce transactions daily. The 19-year-old company is headquartered in San Diego with offices worldwide.
