Arlington, VA-based Mills Corp. is in early discussions with Vallejo city officials and the County Board of Supervisors. If built, the development could comprise more than 1 million sf of retail, entertainment and restaurants, and compete for customers with malls in Fairfield, Concord, Richmond and Vacaville.

The talks are spurring a heated debate between city and county officials who are trying to decide what to do with the fairgrounds, whether to move it, operate it or sell the land. Sources with Mills say they have no intention of getting involved in the negotiations between city and county officials and will only submit a formal proposal once a decision about the fairground's future is decided.

Mills recently submitted a $200 million proposal to develop a waterfront sports, recreational and commercial complex at the base of Telegraph Hill along Piers 27-31 in the City. The Port of San Francisco is expected to choose between Mills and its competitor Chelsea Piers next month.

Mills is also partnering with the 49ers' on the Candlestick Mall project, which has been delayed by changes in the NFL team's ownership. The $200 million mall next to the new stadium would replace 3Com Park as the football team's home. The 49ers recently announced their support for the piers project.
