In the new company, Landmark shareholders will receive one share of common stock and MNB shareholders will receive 0.523 shares for each share owned. Landmark shareholders will owns about 60% of the company and MNB shareholders will own the remaining 40%.
Trading on the Nasdaq Market will be under the symbol LARK. Larry Schugart, Landmark president and CEO will serve as chairman of the new company. Patrick L. Alexander, MNB president and CEO, will become the president and CEO.
