Charming Shoppes, a retail apparel chain specializing in women's plus-size apparel under the names Lane Bryant, Fashion Bug, Fashion Bug Plus and Catherines Plus Sizes, will pay approximately $218 million in cash for the Crosstown, plus the assumption of Crosstown's debt. Charming plans to continue to operate Crosstown Traders as a separate entity, which will remain at its Tucson, AZ headquarters.

"We've very excited about the opportunity that we have in front of us with the incredible acquisition," said Dorrit Bern, chairman, CEO and president of Charming Shoppes, during Friday's earnings call. "We have always been talking about the opportunity in 2007 to get the Lane Bryant name back because we know there is a viable business out there. We've also been intrigued that the American consumer is shopping in a much different way these days."

Bern says today's shopper uses several channels to search for items. From flipping through a catalogue and looking at an outfit online, to trying on an outfit in the store, Bern believes that the acquisition will help provide further options for consumers. "We as a retailer need to be actively involved providing to her the opportunity to shop multi-channels with us. Crosstown is that opportunity."

In the purchase, Charming will acquire Crosstown's 850 call-center platform, its $460 million in annual revenue and the company's four million catalogue-reaching households. Charming brings 29 million customer names, which Bern says will add to Crosstown's already proven success.

Banc of America Securities LLC acted as exclusive financial advisor to Charming Shoppes Inc. in connection with this transaction. Its investment bankers at J.P. Morgan introduced crosstown Traders to Charming Shoppes. Goldman, Sachs & Co. and GLC Securities Corp., an affiliate of Gruppo, Levey & Co., advised Crosstown Traders.

Charming Shoppes' net sales for the three months ended April 30, 2005 increased 2% to $603 million compared to sales of $593 million for the three months ended May 1, 2004. Comparable store sales for the corporation were flat for the three months ended April 30, 2005.

At the end of the period, Charming Shoppes Inc. operated 2,230 stores in 48 states under the names Lane Bryant, Fashion Bug, Fashion Bug Plus and Catherines Plus Sizes. In the first quarter, the company opened 16 stores, relocated 16 stores, and closed seven. The company ended the period with 1,027 Fashion Bug and Fashion Bug Plus stores, 730 Lane Bryant stores, 473 Catherines Plus Sizes stores, and approximately 15.4 million sf of leased space.
